Terms of Service
Thank you for using our products and services ("Services"). These Services are provided by eLegal Software Solutions, Inc., with virtual offices in Deltona and Marathon, Florida. By using our Services, you are agreeing to these terms and should spend some time to read them carefully.
You must follow any policies made available to you with the Services. You may not access our Services using a method other than the interface and the instructions that we provide. You may use our Services only as permitted by law, including applicable export and re-export control laws and regulations. We may elect to suspend or stop providing access to our Services if you fail to comply with our terms or policies; if we investigate suspected misuse; or if law enforcement notifies us of potential illegal use.
Using our Services does not grant you an ownership interest in any of our intellectual property rights, source code, or the content you access. You may not use content from our Services unless you obtain permission from its owner or are otherwise permitted by law or the Subscription Agreement. You may not use any branding or logos used in our Services. Do not remove, obscure, or alter any legal notices displayed in or along with our Services.
Our Services may display some content which does not belong to eLSS. This content is the sole responsibility of the entity that makes it available. We may review content to determine whether it is illegal or violates our policies, and we may remove or refuse to display content that we reasonably believe violates our policies or the law.
In connection with your use of the Services, we may send you service announcements, administrative messages, and other information. You agree that these periodic announcements are to provide you with information that may improve your experience with our Services.
Some of our Services are available on mobile devices. Do not use such Services in a way that distracts you and prevents you from obeying traffic or safety laws.
In order to use our Services, you may need an account. Your account for eLSS's Florida document generator must conform to the information you, as an attorney, provide to the Courts or the Florida Bar. If you fail to conform your information to these standards, your identifying information may be invalid on the forms and require editing.
Licensing is on an individual basis only and cannot be tied to a law firm (although you will be able to designate your law firm in your profile). Corporate accounts do not exist. To protect your account keep your password confidential. You are responsible if another misuses your account. If you are made aware of any unauthorized access, contact eLSS administrators immediately.
Your content in our Services are examples from a field that specializes in plagiarism on a massive level. As we find better examples or practices eLSS will update the documents accordingly and with little or no notice.
Our Services does not keep any data, logs, or information about the clients of attorneys. Any forms generated are not tracked or stored in any manner. eLSS strives to maintain the highest form of security possible for out attorney clients. In other words, if we do not store information about your clients on our servers, nobody can steal it from eLSS. The down side to that is that if you need to recreate the documents you will need to reenter the client information unless you store form information on your local browser.
Our Services are constantly changing and improving. Functionality and features may appear and/or disappear. We may also stop or suspend a Service altogether, without warning or notice. While we do not believe that this will be a very rare situation, we cannot deny that the possibility exists.
You can stop using our Services at any time, although we will be sad if you leave us.
Our Services are provided using a commercially reasonable level of skill, talent, and care available to our founders and we hope that you will enjoy using them. Here is what we do not promise:
OTHER THAN AS EXPRESSLY SET OUT IN THESE TERMS OR ADDITIONAL TERMS AS MAY BE ADDED IN THE FUTURE, NEITHER eLSS NOR ITS SUPPLIERS OR DISTRIBUTORS (IF ANY) MAKE ANY SPECIFIC PROMISES ABOUT THE SERVICES, FOR EXAMPLE, WE MAKE NO COMMITMENTS ABOUT THE CONTENT, RELIABILITY, AVAILABILITY, ACCURACY, OR EVEN ITS ABILITY TO MEET YOUR SPECIFIC NEEDS. SERVICES ARE PROVIDED "AS IS".
SOME JURISDICTIONS PROVIDE FOR CERTAIN WARRANTIES, LIKE THE IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT, AND TO THE EXTEND PERMITTED BY LAW WE DISCLAIM AND EXCLUSE ALL WARRANTIES: EXPRESSED OR IMPLIED.
LIABILITIES FOR SERVICES PROVIDED
WHEN PERMITTED BY LAW, eLSS, ITS SUPPLIERS AND DISTRIBUTORS, WILL NOT BE RESPONSIBLE FOR LOST PROFITS, REVENUES, OR DATA, FINANCIAL LOSSES OR INDIRECT, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES.
TO THE EXTENT PERMITTED BY LAW, THE TOTAL LIABILITY OF eLSS, ITS SUPPLIERS AND DISTRIBUTORS, FOR ANY CLAIMS ARISING UNDER THESE TERMS OR THE USE OF THE SERVICES PROVIDED, INCLUDING FOR ANY IMPLIED WARRANTIES, IS LIMITED TO THE AMOUNT YOU PAID eLSS TO USE THE SERVICES (OR, AT OUR OPTION, TO SUPPLYING YOU WITH THE SERVICES AGAIN).
IN ALL CASES eLSS, ITS SUPPLIERS AND DISTRIBUTORS WILL NOT BE LIABLE FOR ANY LOSS OR DAMAGE THAT IS NOT REASONABLY FORESEEABLE.
As a subscriber, if you use these Services on behalf of a third- party natural person or business, you indemnify eLSS from any and all damages caused by its use in either an intended or unintended manner. Attorney subscribers are especially cautioned to review all generated documents carefully as one programming mistake or improperly filled field could result in unintended consequences for drafted documents. eLSS provides these Services to make attorney workloads easy, not eliminate the responsibility for proper drafting and practice.
These terms may be modified at any time to reflect changes to the Services being provided and/or the law. You should come back and review these terms regularly. If practicable eLSS will provide an email notice letting you know that the terms have been updated. eLSS may possibly create a temporary page to permit users to reacknowledge having seen, read, and understood the terms of Services provided.
If an ambiguity arises between any new terms and an old term, the ambiguity shall be resolved in a light most favorable to eLSS. These terms control the relationship between eLSS and you and create no third party beneficiary rights.
Failure to enforce these terms does not act as a waiver to future enforcement of these terms or any future terms.
Should any of these terms be found unenforceable, it shall not affect the enforceability of any other term.
Should any dispute arise between the user and eLSS, the dispute shall be settled within the geographic boundary of Volusia County, Florida in arbitration or a state court of competent jurisdiction at the option of eLSS, costs to be paid by the initiator of any action in either forum. The user and eLSS consent to personal and in rem jurisdiction in Volusia County courts.
